Steps Involved in the Transition
Definition of Members
There will be two (2) classes of Members with voting rights. The classes are Individual Professional Member and so-called Member Chapter.
The Board may create other classes of members or supporters without voting rights as needed or desired to carry out the organization's purposes. When the by-laws become effective on September 1, 2024 all active Individual Central Members will automatically become Individual Professional Members.

Transition of Board of Directors Composition
Distinguishing between governance and management roles allows board members to focus on high-level decision-making and oversight, while the management handles day-to-day operations.
Following is a table that outlines the gradual move from an operational to a strategic board model as defined in the new bylaws. The organization will be governed no longer by operational portfolio holders (i.e. VP model) but by strategic board members. Operations over time will be assumed by contracted staff.

Key Highlights of the Transition

In line with the old bylaws, the election will take place in 2024 for the Vice President of Finance, Vice President of Conference Services, and Vice President of Marketing & Communications. The Presidents Council will also elect its Chair.

The President, the Vice President Operations, Vice President Chapter Services, Vice President Professional Development, Vice President Member Services and Vice President Online Services will continue serving in their role until the end of their current term.

All Active Affiliated Chapters are eligible to nominate and vote in 2024 for the open positions.

In 2025 the transition to the governance structure will start with elections for the 2026/2029 starting positions of Vice President, one Chapter Director, two2 At Large Directors, and 1one Board Director.

The phasing in transition allows for the current board members to serve out their terms and will start to replace them with the governance positions.

The new governance structure removes the current portfolio specific Vice Presidents roles and introduces the following positions:
(a) The President elected by the Individual Professional Members for a three-year term;
(b) The Vice President elected by the Member Chapters for a three-year term;
(c) The Chair of the Presidents’ Council, elected by the presidents of the DAMA-IMember Chapters for an ex-officio with vote for a three-year term;
(d) Five (5) At Large Directors elected by the Individual Professional Members for a three-year term;
(e) Four (4) Chapter Directors elected by the Member Chapters for a three-year term; and
(f) Three (3) Board Directors elected by the other members of the Board for a three-year term.
